Welcome to Blue Sky Outdoor LLC. These Terms & Conditions govern your purchase and use of products and services offered by Blue Sky LLC (“Company,” “we,” “us,” or “our”), including custom pergolas, luxury outdoor furniture, premium umbrellas, accessories, installation services, design services, and related products (collectively, the “Products”).

By placing an order with us, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.

1. Products & Custom Orders

Many of our Products are individually crafted, configured, or ordered specifically for each customer. Because of the nature of these Products, dimensions, finishes, fabrics, colors, materials, hardware, configurations, and other specifications may vary slightly from photographs, samples, renderings, displays, or previous orders.

For custom and made-to-order Products, the specifications approved by the customer at the time of order will govern the final Product.

We encourage customers to carefully review all measurements, selections, finishes, colors, fabrics, configurations, and other specifications before approving an order.

Once production or procurement has commenced, changes or cancellations may not be possible and may be subject to applicable cancellation charges.

2. Quotes & Pricing

Quotes and estimates are valid for the period stated on the quote. Unless otherwise specified in writing, quotes are subject to change after expiration.

Prices may be affected by changes in manufacturer pricing, material costs, freight charges, tariffs, taxes, installation requirements, site conditions, or other circumstances outside our control.

The final price is the amount stated on the applicable sales order, proposal, or invoice accepted by the customer.

Applicable sales tax, delivery charges, installation charges, permit fees, site preparation, engineering, and other third-party charges may be additional unless expressly included in writing.

3. Deposits & Payment

A deposit may be required to reserve production capacity, initiate procurement, begin design work, or place an order with a manufacturer.

Unless otherwise stated on the applicable proposal or invoice, deposits and payments are subject to the cancellation and return provisions described in our Return & Cancellation Policy.

The remaining balance is due according to the payment schedule stated on the customer’s invoice or sales agreement.

We reserve the right to suspend production, delivery, installation, or other services if an account is past due.

Title to Products may remain with Blue Sky Outdoor LLC until payment has been received in full, to the extent permitted by applicable law.

4. Custom & Made-to-Order Merchandise

Custom, made-to-order, personalized, modified, or special-order Products are produced specifically for the customer and generally cannot be returned or cancelled once production or procurement has begun.

This includes, without limitation:

• Custom pergolas and structures
• Custom-sized or configured Products
• Made-to-order outdoor furniture
• Special-order furniture
• Custom upholstery
• Customized cushions and fabrics
• Special-order umbrellas and bases
• Products with customer-selected finishes, colors, fabrics, dimensions, or configurations
• Products ordered specifically for a customer from a manufacturer or supplier

Exceptions may apply when Products are defective, damaged in transit, incorrectly manufactured, or materially different from the approved order.

5. Product Variations

Natural materials and handcrafted Products may exhibit variations in color, grain, texture, finish, pattern, veining, knots, weathering, or other characteristics.

Such variations are generally considered inherent qualities of the material or craftsmanship and are not necessarily defects.

Outdoor Products are also exposed to sunlight, moisture, temperature fluctuations, wind, dust, pollen, salt air, and other environmental conditions. Natural aging, fading, patina, weathering, and ordinary wear are not considered defects unless otherwise covered by an applicable manufacturer’s warranty.

Color representation may vary between physical samples, photographs, displays, and electronic screens.

6. Dimensions & Site Conditions

The customer is responsible for providing accurate dimensions and information regarding the intended installation location unless Blue Sky Outdoor LLC has expressly agreed in writing to perform field measurements.

For pergolas and other structures, customers may be required to provide or authorize site measurements, engineering information, property information, utility information, HOA requirements, and other relevant documentation.

Unless expressly included in writing, the customer is responsible for obtaining required property-owner, HOA, municipal, architectural, engineering, zoning, or other approvals.

Installation pricing and schedules may change if actual site conditions differ from the conditions represented or reasonably anticipated at the time of quoting.

7. Installation

Where installation services are provided, installation will be performed according to the scope stated in the applicable proposal or installation agreement.

Unless expressly included, installation does not include structural modifications, electrical work, plumbing, landscaping, demolition, removal of existing structures, concrete work, drainage work, utility relocation, permitting, engineering, or other site preparation.

Additional work required because of concealed conditions, inaccurate information, site access limitations, unsuitable surfaces, or other unforeseen circumstances may result in additional charges.

The customer is responsible for providing reasonable access to the property and installation area.

8. Delivery

Delivery dates are estimates unless expressly guaranteed in a written agreement.

Lead times may be affected by manufacturing schedules, material availability, freight delays, weather, customs, labor shortages, supplier delays, or other circumstances beyond our reasonable control.

Customers should not schedule events, contractors, construction activities, or other time-sensitive work based solely on an estimated delivery date.

At delivery, customers should inspect Products for visible damage and promptly notify us of any apparent damage or discrepancy.

9. Outdoor Use & Care

Our Products are designed for outdoor environments, but no outdoor Product is completely immune to environmental exposure.

Proper care, maintenance, storage, anchoring, cleaning, and use are essential to maximizing the life of outdoor Products.

Customers are responsible for following applicable care and maintenance instructions provided by Blue Sky Outdoor LLC or the manufacturer.

Failure to properly maintain, secure, store, or use a Product may void applicable warranties.

Premium umbrellas and other large outdoor shade structures must be properly closed, secured, weighted, or stored according to the manufacturer’s instructions during high winds, storms, severe weather, or when unattended.

10. Manufacturer Warranties

Where applicable, Products may be covered by a manufacturer’s limited warranty.

Manufacturer warranties are subject to the terms, conditions, exclusions, and procedures established by the applicable manufacturer.

Blue Sky Outdoor LLC may assist customers with warranty claims but does not independently expand, modify, or guarantee a manufacturer’s warranty unless expressly stated in writing.

Nothing in these Terms & Conditions is intended to limit any warranty or consumer protection right that cannot legally be excluded or limited.

11. Damaged, Defective, or Incorrect Products

If a Product arrives damaged, defective, incomplete, or materially different from the approved order, customers should contact us promptly at support@bluesky-outdoor.com with photographs and a description of the issue.

We will evaluate the claim and, where appropriate, coordinate repair, replacement, replacement components, or another appropriate remedy.

Customers should not dispose of, alter, repair, or modify a disputed Product without first contacting us, unless necessary to prevent immediate damage or injury.

12. Force Majeure

We are not responsible for delays or inability to perform caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, flood, transportation disruptions, labor disputes, acts of government, supplier interruptions, material shortages, war, civil unrest, pandemics, or other extraordinary circumstances.

13. Website Content

We make reasonable efforts to ensure that product descriptions, photographs, dimensions, pricing, and other website information are accurate. However, errors may occasionally occur.

We reserve the right to correct errors, update information, and modify Product availability or pricing without prior notice.

Images shown on our website are for illustrative purposes and may not precisely represent the color, texture, scale, or finish of the Product received.

14. Intellectual Property

All website content, including photographs, product imagery, graphics, logos, text, designs, trademarks, and other materials, is owned by or licensed to Blue Sky Outdoor LLC and may not be reproduced, distributed, modified, or used without prior written permission.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Blue Sky Outdoor LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the purchase, delivery, installation, use, or inability to use a Product.

Nothing in these Terms & Conditions excludes or limits liability that cannot legally be excluded or limited under applicable law.

16. Governing Law

These Terms & Conditions shall be governed by the laws of the State of California, without regard to its conflict-of-law principles, except to the extent otherwise required by applicable law.

17. Changes to These Terms

We may update these Terms & Conditions from time to time. The Terms in effect at the time an order is accepted will generally govern that order, unless otherwise required by law or agreed in writing.
